ALI SPICER | TERMS & CONDITIONS

PART I — COACHING TERMS & CONDITIONS

Ali Spicer, LLC

Effective Date: October 15, 2026

These Coaching Terms & Conditions (“Agreement”) govern all private coaching services provided by Ali Spicer, LLC (“Business” or “Coach”) to the individual purchasing coaching services (“Client”).

By purchasing coaching services, the Client acknowledges that they have read, understood, and agree to the terms outlined below.

1. Description of Coaching

Coaching is a partnership, defined as a collaborative alliance rather than a legal business partnership, between the Coach and Client in a thought-provoking and creative process designed to inspire the Client to maximize personal and professional potential.

Coaching facilitates the development of personal, professional, or business goals and supports the creation and implementation of strategies for achieving those goals.

Coaching may involve various areas of the Client’s life, including career, finances, health, relationships, education, and personal development.

2. Coach-Client Relationship & Responsibilities

The Client acknowledges and agrees that:

  • The Client is solely responsible for their own decisions, choices, actions, physical, mental, and emotional well-being, and the results arising from the coaching relationship.
  • The Coach provides guidance, perspective, questions, and support but does not make decisions on behalf of the Client.
  • The Client is responsible for determining how to apply coaching principles and recommendations to their own circumstances.
  • The Client agrees to communicate honestly, remain open to feedback, and devote appropriate time and energy to participating fully in the coaching process.
  • The Coach makes no guarantees regarding specific outcomes or results.

Coaching is not therapy. Coaching does not diagnose, prevent, cure, or treat mental disorders or medical conditions and is not a substitute for psychotherapy, counseling, substance abuse treatment, or professional medical, legal, or financial advice.

The Client is responsible for seeking appropriate professional assistance when necessary. Clients currently receiving mental health treatment are encouraged to discuss their coaching participation with their treating professional.

3. Coaching Services, Scheduling & Fees

The Business offers private coaching services as described at the time of purchase. The specific services, number of sessions, session duration, and applicable fees are established by the offer selected by the Client at checkout.

All services must be paid for in full before scheduling or receiving coaching.

Sessions are scheduled according to the Coach’s published calendar availability. Custom scheduling outside regular availability may be offered at the Coach’s sole discretion for an additional per-session fee. Requests may be submitted to hello@alispicer.com.

A scheduled session may conclude before its allotted time when the Coach and Client mutually determine that the objectives of the session have been sufficiently addressed. Early completion does not entitle the Client to a partial refund or additional coaching time.

Coaching purchases include only the scheduled sessions. Ongoing coaching, email support, text messaging, or other between-session communication is not included unless separately agreed upon in writing.

Coaching sessions and packages of six sessions or fewer must be used within six months of the original purchase date. Larger coaching packages are subject to the expiration terms specified in their respective agreements. Unused sessions expire at the end of the applicable period and are nonrefundable and nontransferable, except as required by applicable law.

4. Cancellation, Rescheduling & No-Show Policy

The Client agrees to provide at least 24 hours’ notice to cancel or reschedule a scheduled coaching session.

Sessions canceled or rescheduled with at least 24 hours’ notice may be rebooked, subject to the Coach’s availability and any applicable session or package expiration date.

Late cancellations: Sessions canceled or rescheduled with less than 24 hours’ notice may be forfeited without refund or replacement, at the Coach’s sole discretion. The Coach may, but is not obligated to, permit rescheduling in cases of unexpected circumstances. Any exception granted does not establish an obligation to grant future exceptions.

No-shows: If the Client fails to attend a scheduled session without notice, the session is forfeited in full, is nonrefundable, and will not be rescheduled.

Repeated cancellations or rescheduling: The Coach reserves the right to decline further rescheduling requests or terminate the coaching relationship if repeated cancellations or schedule changes interfere with the delivery of services, regardless of whether the required notice was provided. If the Coach elects to terminate the relationship, any unused, unforfeited sessions will be refunded in accordance with the termination and refund provisions of this Agreement.

Coach cancellation: If the Coach must cancel a session, the Client will be offered a reasonable opportunity to reschedule. If the Coach is unable to provide the purchased service, a refund for the undelivered service will be issued.

5. Payment & Refund Policy

All coaching purchases are final and nonrefundable, except where otherwise expressly provided in this Agreement or required by applicable law. This policy applies to both individual coaching sessions and multi-session packages, including unused sessions.

Clients uncertain about committing to multiple sessions are encouraged to purchase a single session before purchasing a package.

The Client may discontinue participation in coaching at any time. Client-initiated termination, cancellation, or a decision not to use purchased sessions does not create an entitlement to a refund.

The Business may, at its sole discretion, offer alternative accommodations, including credits toward future coaching services or other products. Such accommodations are not guaranteed.

Coach-initiated termination: If the Business elects to discontinue a coaching relationship before all purchased services have been delivered, the Client will receive a prorated refund for any unused, unforfeited sessions. The refund will be calculated by dividing the original purchase price by the total number of sessions purchased and multiplying that amount by the number of unused, unforfeited sessions remaining.

Any session forfeited under the cancellation or no-show policy is treated as used for refund-calculation purposes.

6. Confidentiality

The Coach recognizes the confidential nature of the coaching relationship and agrees to maintain the confidentiality of personal information shared by the Client, subject to the exceptions outlined below.

The Client understands that the coaching relationship is not legally privileged in the same manner as communications with certain medical or legal professionals.

The Coach will not disclose confidential Client information without authorization, except when the information:

  • Was already lawfully known to the Coach or becomes publicly available without breach of this Agreement.
  • Is lawfully obtained from another source without an obligation of confidentiality.
  • Is independently developed without reference to the Client’s confidential information.
  • Must be disclosed pursuant to applicable law, subpoena, court order, or other lawful requirement.
  • Gives the Coach reasonable grounds to believe disclosure is necessary to address a serious or imminent risk of harm to the Client or others.
  • Involves circumstances where disclosure is otherwise required or permitted by applicable law.

The Coach may discuss anonymized or hypothetical coaching situations with other coaching professionals for training, mentoring, supervision, consultation, evaluation, or professional development, provided reasonable measures are taken to protect the Client’s identity and confidential information.

The Coach will not publicly identify a Client as a coaching client or disclose identifiable coaching details without authorization. If a Client voluntarily and publicly identifies themselves as a coaching client, the Client authorizes the Coach to acknowledge, share, or repost that public disclosure, including identifying the Client in connection with the coaching relationship. This authorization does not extend to confidential coaching discussions or information not voluntarily made public by the Client.

7. Professional Development & Session Recordings

The Coach may participate in professional training, continuing education, credentialing, supervision, and related professional development activities. Where reasonably necessary to verify a coaching relationship for professional credentialing, the Coach may request the Client’s permission to disclose limited identifying information, such as name, contact information, and dates of coaching. Personal coaching notes will not be disclosed for this purpose without separate authorization.

Coaching sessions are not routinely recorded. If recording is requested for credentialing, training, evaluation, or another professional purpose, the Client will be informed in advance, including the intended use of the recording. Recording will occur only with the Client’s consent.

8. Testimonials & Marketing Authorization

If the Client voluntarily provides a written, audio, or video testimonial, review, photograph, or other promotional statement concerning the Business or its coaching services (collectively, “Testimonial”), the Client grants Ali Spicer, LLC a nonexclusive, worldwide, royalty-free license to reproduce, publish, display, distribute, and use that Testimonial for lawful business, advertising, and promotional purposes.

This authorization includes use on websites, social media, email marketing, advertising, printed materials, and other promotional channels.

The Client understands that no additional compensation is owed for authorized use of a voluntarily provided Testimonial.

This authorization does not permit the Business to disclose confidential coaching conversations or private Client information unrelated to the voluntarily provided Testimonial.

Nothing in this section requires the Client to provide a Testimonial.

9. Records & Privacy

The Business may maintain records relating to coaching services, including scheduling information, communications, intake responses, and coaching notes. Records may be maintained electronically or in physical form and will be handled in accordance with applicable law, reasonable confidentiality practices, and the Business’s published privacy terms.

The Client acknowledges that third-party services may be used for scheduling, payment processing, email communications, and virtual meetings.

10. Termination of Coaching Relationship

Either party may discontinue the coaching relationship at any time.

The Business reserves the right to decline, suspend, or terminate coaching services at its discretion, including when it determines that the coaching relationship is no longer appropriate, productive, or consistent with its professional standards.

The Business is not obligated to provide a detailed explanation for its decision, except where required by applicable law.

Refunds resulting from Business-initiated termination will be handled in accordance with Section 5.

Client-initiated termination does not entitle the Client to a refund for purchased services, except as required by law.

11. Disclaimer & Limitation of Liability

Except as expressly stated in this Agreement, the Business makes no warranties or guarantees, express or implied, regarding the results or outcomes of coaching services. The Client acknowledges that coaching outcomes depend on numerous factors beyond the Coach’s control, including the Client’s own decisions, actions, circumstances, and participation.

To the maximum extent permitted by applicable law, the Business shall not be liable for indirect, incidental, special, or consequential damages arising from the coaching relationship.

To the maximum extent permitted by applicable law, the Business’s total liability arising from a coaching purchase shall not exceed the amount actually paid by the Client for the coaching services giving rise to the claim.

Nothing in this Agreement limits liability that cannot lawfully be limited or excludes rights that cannot legally be waived.

12. Dispute Resolution

If a dispute arises under this Agreement, the Client and Business agree to first attempt to resolve the matter through good-faith communication.

If the dispute cannot be resolved informally, the parties agree to attempt good-faith mediation before initiating litigation, except where immediate legal action is necessary or applicable law provides otherwise.

Any mediation costs will be allocated as mutually agreed by the parties.

In any subsequent legal proceeding, recovery of attorney’s fees and costs shall be governed by applicable law and any enforceable contractual rights.

13. General Provisions

Entire Agreement: This Agreement constitutes the entire understanding between the Client and Business concerning the coaching services purchased and supersedes prior representations concerning those services, except for any separate written agreement expressly accepted by both parties.

Amendments: Any modification affecting an existing purchase must be agreed upon in writing by both parties.

Severability: If any provision is determined to be invalid or unenforceable, the remaining provisions shall remain in effect to the extent permitted by law.

Waiver: Failure to enforce a provision of this Agreement does not waive the right to enforce that provision in the future.

Governing Law: This Agreement shall be governed by the laws of the State of Idaho, subject to any applicable mandatory consumer protections.

Binding Effect: This Agreement is binding upon the parties and their respective permitted successors and assigns.

Client Eligibility: Standard coaching services are intended for individuals 18 years of age or older. Coaching for minors may be considered through separate arrangements with appropriate parent or legal guardian authorization.

14. Acceptance of Terms

By completing a coaching purchase, the Client acknowledges that they have reviewed, understood, and agreed to these Coaching Terms & Conditions, including the payment, cancellation, rescheduling, no-show, refund, confidentiality, and liability provisions.
